Terms of Service

These Terms of Service (the "Terms") are an agreement between you and Dunzio Inc ("Dunzio", "we", "us"). They cover your use of the Dunzio studio, the websites at dunzio.net and dunzio.com, and everything Dunzio generates, hosts or delivers for you (together, the "Service").
1. Agreement and eligibility
By creating an account or using the Service, you accept these Terms. If you use the Service for a company or another organization, you accept them on its behalf and confirm that you are authorized to do so.
You must be at least 18 years old and able to enter into a binding contract.
The Privacy Policy, the Data Processing Agreement and the Refund Policy are part of these Terms.
2. What the Service does
Dunzio uses artificial intelligence to generate software code, images, video and speech at your request, and can host the apps you build. Anything the Service generates for you is "Output".
Your requests are carried out by AI models that third-party providers operate. The Privacy Policy names them.
3. AI output comes with no warranty
Output is produced by AI. It may be inaccurate, incomplete, insecure or unfit for your purpose, and it may resemble output generated for someone else.
Output is provided "as is" and "as available", with no warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. To the fullest extent the law allows, Dunzio accepts no liability for Output or for anything you do with it.
4. You review and approve before you deploy
You must review, test and approve generated code before you deploy it or rely on it. Publishing an app, or shipping code the Service delivered, is your approval of that code.
You are responsible for the apps you deploy, for their security and their compliance with the law, and for the people who use them.
5. Ownership
As between you and Dunzio, the code and media delivered to you are yours to modify, use and ship. Third-party and open-source components inside them remain under their own licenses.
Dunzio keeps all rights in the Service itself, including the studio, the starter kits as templates, and the Dunzio name and marks. You may use a starter kit as part of the apps you build with it.
The law may not protect AI-generated material in the way it protects human work, and Dunzio does not promise that Output can be protected.
6. Your content and user-generated content
"Content" is everything you or the users of your apps put into the Service: prompts, files, data and the records your apps create. You own your Content and you are responsible for it. Dunzio does not review Content and is not responsible for content that you, or the users of your apps, create on the platform.
You give Dunzio permission to host, copy, process and transmit Content only as needed to provide the Service to you.
You must not use the Service to:
- distribute malware or spam, or attack or probe any system;
- create or share content that is unlawful where it is served, or that infringes someone else's rights;
- imitate a real person's likeness or voice without that person's permission;
- get around the Service's limits, security or billing.
We may remove Content or suspend an account that breaks these rules.
7. Fees
Wallet. Your account has a wallet with a balance in US dollars. The cost of the AI work each request uses, and any fee a kit charges for each output, is deducted from the wallet of the project's owner. A request cannot start when the wallet is empty. Credit we give you for free is promotional and has no cash value.
Kits. Some starter kits are paid, once, when you choose them.
Hosting. Each environment of an app is hosted month by month. When an environment's hosting ends, its users are signed out until the hosting is renewed.
Payment. Payments are handled by Stripe. Prices do not include taxes that apply to you. We may change prices for future purchases.
Refunds are covered by the Refund Policy.
8. Alpha service
The Service is in alpha. Features change or are removed, and the Service may be interrupted for maintenance.
9. Service availability and force majeure
Dunzio does not promise that the Service will be available at any particular time or without interruption.
Dunzio is not responsible for downtime, delay or failure caused by events beyond its reasonable control. These include internet and telecommunications outages, acts of God, natural disasters, power failures, war, government action, and outages or failures of AI model providers, cloud hosting providers, payment processors and other third-party providers.
10. Disclaimers and limitation of liability
To the fullest extent the law allows, the Service is provided "as is" and "as available", with no warranty of any kind.
To the fullest extent the law allows, Dunzio is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, however they arise.
Dunzio's total liability for all claims connected with the Service is limited to the fees you paid to Dunzio in the twelve months before the event that gave rise to the claim.
Nothing in these Terms limits liability that the law does not allow to be limited.
11. Indemnity
You will defend and indemnify Dunzio against claims, losses and costs, including reasonable legal fees, that arise from your Content, from the apps you build or deploy, from your use of Output, or from your breach of these Terms.
12. Suspension and termination
You may stop using the Service at any time.
We may suspend or end your access if you breach these Terms, if a payment fails, if your use puts the Service or other people at risk, or if the law requires it. Where we reasonably can, we will tell you first.
When access ends, your right to use the Service ends. Sections 3, 4, 5, 6, 10, 11, 13 and 14 continue to apply.
13. Governing law and disputes
These Terms are governed by the laws of Texas, without regard to its conflict-of-law rules.
All disputes arising out of or in connection with the present contract shall be finally settled under the Rules of Arbitration of the International Chamber of Commerce by one or more arbitrators appointed in accordance with the said Rules.
The seat of the arbitration is New York. The language of the arbitration is English.
Either party may ask a court for urgent relief to protect its intellectual property or the security of its systems. Nothing in this section takes away a right that the law of your country gives you as a consumer and that cannot be waived.
14. Changes, notices and language
Changes. We may update these Terms. The updated Terms are posted on this page with a new date, and we will tell you about important changes by email or in the studio. If you keep using the Service after a change takes effect, you accept the updated Terms.
Notices. Send notices to james@dunzio.com, or by post to Dunzio Inc, P.O. Box 1264, Dallas TX 75248. We send notices to the email address of your account.
Language. These Terms are written in English. Translations are provided for convenience, and the English version controls if they differ.
General. If a part of these Terms cannot be enforced, the rest still applies. These Terms are the whole agreement between you and Dunzio about the Service. You may not transfer your rights under them without our consent.
